The IST - LNG lawyer will provide legal support to the Singapore IST LNG business which handles: (i) long-term acquisitions of LNG from supply sources in Trinidad, Egypt, the US and Australia; (ii) LNG trading in Asia-Pacific and the Middle East; (iii) mid and long-term sales of LNG; and (iv) possible investments for equity, off-take and supply rights at new liquefaction and re-gasification terminals. The IST - LNG lawyer supports these activities through risk identification, document drafting and negotiation, structuring of transactions, providing regulatory compliance advice, and advising on disputes.
Working as part of a small legal team spread among London, Singapore and Houston, the IST - LNG lawyer will work closely with a local group of originators and traders and other functional partners (such as Credit, Tax, Operations, Shipping, and Product Control). The accountabilities require that the lawyer: 1. Draft and negotiate: • LNG master trading agreements with counterparties • transaction documentation for short and mid-term transactions; • Mid- and long-term LNG sale and purchase agreements; • Investment documentation, including JV agreements, associated with off-take and supply rights at liquefaction and re-gasification terminals and associated downstream infrastructure;
2. Advise on contract events, including force majeure, late ship arrivals, cargo scheduling issues, credit support, price re-negotiations and disputes;
3. Provide structuring and compliance guidance related to trading, joint ventures, marketing arrangements, LNG value chain optimisations and risk mitigation;
4. Contribute to improvement of contracting procedures, design of new structures and products to meet market developments, and strategic business studies;
5. Exchange experience and best practice within the global LNG legal team through informal and structured collegial interaction.
Law qualification in a Common Law jurisdiction.
Essential experience and job requirements
Sound understanding of UK/US contract law. • Experience of client counselling and transactional work (project or trading transactions). • Capacity for collaborative team-work, including coordination with multiple contributors and effective management of resources. • Commercial awareness and capacity for effective contribution to business results, including an ability (after appropriate consultation with colleagues and subject matter experts) to offer multiple solutions to address risk as circumstances warrant. • Strong interpersonal and communication skills including an ability to work with colleagues and business counterparts so as to advise on legal aspects of transactions, including compliance issues.
